海外公司代表处设立

　　办理香港及海外公司代表处首先必须具备中国驻当地领事馆/司法部出具的中国公证人文件，另外一份则是银行出具的资信证明表示公司运作资金运作良好、无不良记录。

　　特别需要提醒的.是:

　　首先,办事处只能作为联络客人之用,不可以具体经营,否则需要办理中外合资或者外商独资公司,其次,中国属于地方性税务政策比较强,有的地方需要公司具备外籍人事持股才可以有合法境内投资的外管局批文,就这一点需要在办理前和外境委核实清楚,才开始具体委托我事务所办理公证,最后VISA则是国内的整套文件都处理好后在出入境管理中心办理,

　　客户需提供材料：

　　Materials supplied by client:

　　1.合法开业证明(开业证明及其公证认证，即在当地公证机关公证，再于中国大使馆进行认证);(1份)

　　Incorporation Certificate and its Notarization Certificate at the local notary office, its certification at Chinese embassy;(one piece)

　　2投资方银行资信证明;(1份)

　　Certificate of balance of the investment corporation from bank;(one piece)

　　3.租用办公楼的租赁合同原件(租期一年以上)，驻在证明原件，指定办公场所许可证复印件(加盖大楼公章)，租赁证(原件及复印件加盖公章);权利人身份证复印件并签字;

　　注：该办公楼应属外经贸委认可的楼宇范围。

　　Lease Contract of the rent-office (The lease term should be at least one year); location certificate(original edition); specified office buiding certificate(one copy with the stamp); Acredited Lease Certificate (the original edition ane the copy with the stamp); The copy of the ID card of the property owner;

　　Attention:The foreign business office should be approved by the Shanghai Foreign Investment Commission;

　　4.拟派常驻代表的简历(常驻代表签字)及身份证明(复印件，签字);

　　The Resume of the planned Standing Representative (Signed by the Standing Representative) and his/her ID Card/passport (copies with the signature);

　　5.拟派常驻代表二寸彩照七张。

　　Seven color pictures of the planned Standing Representative (2 inches);

　　另有签字材料有代理方准备。

　　And other materials prepared by the agent.

　　注：若常驻代表是境外人，租房协议须先公证再备案。

　　Re:If the planned Standing Representative is not a Chinese,the lease agreement should be notified.

　　流程：

　　Procedures:

　　1.网上登记申请(10个工作日);

　　Apply on the net(10 working days);

　　2.工商注册(材料齐全的情况下10 个工作日);

　　Registration at Shanghai Administration of Industry and Commerce (about 10 working days if the materials are fully prepared);

　　3.组织机构代码(2个工作日);

　　Organization Code (2 working days);

　　4.税务登记(材料齐全的情况下约20个工作日);ij

　　Tax Registration (20 working days if the materials are fully prepared);

　　5.税务登记地方落户(材料齐全的情况下5个工作日)。

　　Local Settlement Formalities of Tax (5 working days if the materials are fully prepared).
