AGREEMENT OF HOUSE INTERIOR DESIGN
This AGREEMENT OF INTERIOR DESIGN made this date of between A (hereinafter called "the Client" which expression includes their legal representatives, successors in title an assigns) of the one part and B practicing as design consultant at C (hereinafter called “the Designer" which expression includes his/legal representatives, successors in titles and permitted assigns) of the other part.
WHEREAS the Client intends to construct and complete. (hereinafter called the project);AND WHEREAS the Client is desirous of appointing the Designer to provide professional design services for the Project on the terms and conditions hereinafter appearing
IT IS HEREBY AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS:
本设计协议由甲方(客户)和乙方(设计顾问)及丙方(设计公司)于 日签订。
鉴于客户意欲建设并完成本工程;鉴于客户愿意指定设计公司依照以下条款为本工程提供专业设计服务。
因此，双方达成协议如下：
1.0 SCOPE OF WORK 服务范围
1.1 Interior layout and spatial re-planning of all areas.

1.2 Interior design conceptualization and design implementation.

1.3 Interior finishes advice, specification and implementation.

1.7 Preparation of all necessary documents for the implementation for the project.

1.8 Coordination with appointed contractors, suppliers, specialists and other consultants.

1.9 Periodical project supervision of items 1.1 to 1.8 during construction.

2.0 EXCLUSIONS 除外方面
2.1 Areas not included in the Design Consultant’s scope of work are External Building Works, Civil and Structural Engineering, External Landscape, Mechanical and Electrical Engineering, Plumbing & Air Conditioning Engineering, Quantity Surveying & Computer 3D animation.
不包含在设计咨询服务范围的领域是室外建造工程，土木及结构工程，外部景观，机电工程，水暖和空调系统工程，工料测量和电脑三维动画。
2.2 While the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘Practical Completion Certificate’ to the contractor if any.

2.3 While the Designer will provide intent drawings of typical finishes and fixtures, all shop drawings for specialists tradesmen and propriety systems or products must be submitted by the respective sub contractors appointed for this project. They may include:

3.0 FEES 费用
The fee for the conceptual design phase through project construction phase shall be Charged based on unit rate US Dollar Per Square Foot and designable area of Square Foot. The lump sum of US Dollars: Dollars Only (excluding any local governing withholding taxes). The fee shall be payable by the client as addressed below in the payment schedule.

4.0 TERMS OF PAYMENT 支付条款
4.1 Payments are due and payable upon presentation of the Design Consultant’s invoice upon certifying of fees according to paragraph 3.2. An interest of 1% shall be charged on delinquent payments past 30 days.

4.2 Payments during construction phase shall be made monthly, in proportion to the length of the construction period as define in the Work Program Chart.

4.3 Payments for additional services and for reimbursable expenses shall be made monthly upon presentation of Design Consultants statement of services rendered, or expenses incurred.

5.0 DEFINITION OF SERVICES 服务的定义
5.1 Conceptual Design Phase 概念性设计阶段
Understanding of client’s need and formulation of concept design for client’s approval. Includes advising of the need for Authority submissions and additional consultants where appropriate. Concept Illustrations will be prepared for the client’s understanding of the design intent. No detailing is done at this stage. Subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.
了解客户的需求，制作经客户同意的概念型设计。包括咨询相关管理当局和其他合适的咨询顾问的需求。概念插图是为客户理解设计意图而准备的。该阶段不进行任何细节设计。在客户批准概念性设计后的后续变更应该被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。
5.2 Design Development Phase 深化设计阶段
Development of the approved concept design for client’s approval. Includes preparation of working drawings for construction, and selection of materials and finishes.

Appointed consultants shall be coordinated to produce a complete design.
制定顾问应协调制作出一个完整的设计。
Necessary detailing will be produced at this stage. 必要的细节设计将在该阶段完成。
Project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.

Adjusted project fee shall propose by Design Consultant in the ‘Fee Amendment Schedule’ upon client’s request for project fee increment.

The ‘Fee Amendment Schedule’ shall supercede paragraph 3.2.Changes requested by the client after the approval of production drawings are deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

5.3 Project Documentation Phase 项目文件阶段
Preparation of all necessary technical specifications for the project.

All necessary design coordination with other consultants shall be completed by this stage.
与其他设计单位协调所有的设计必须在该阶段完成。
Relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.

Client shall be notified upon completion of this stage. 完成该阶段时应通知客户。
Any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

5.4 Construction Phase建设施工阶段
Implementation of the approved design. 经批准同意的设计的实施
Design Consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.
设计方应监督现场安装，检查所有批准文件中选定的被运至现场的材料，包括规格、质量和品质，拒收不符合规范的材料。
The Design consultant shall provide final inspection and a Practical Completion Certificate shall be awarded upon Consultant’s satisfaction that all works has been completed accordance to approved drawings.

Changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.

In addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.
此外，设计方有权收取因延误施工工期而导致的人工费用、间接成本、仓储和材料费用等逾期费用，以及因此而导致的的其他损失。
6.0 AMENDMENT OF APPROVED DRAWINGS BY DESIGN CONSULTANT
设计终稿的`变更
6.1 The Design Consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the Design Consultant. Such changes shall be commuted to the client and no additional service charge shall be payable by the client. However additional cost incurred to labour and material shall be reimbursed by the client.
由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。
7.0 COMPENSATION FOR ADDITIONAL SERVICES 额外服务费用
7.1 For project representation beyond that is already mentioned, compensation shall be computed as follows: Dollars Per Hour (S$100.00/Hour)
对于上述提到的额外服务的补偿费，应按每小时 元计算
7.2 This Service shall be approved by client in writing before the Design Consultant provides such services.
设计方在提供额外服务前应获得客户事先的书面许可。
7.3 In cases which Design Consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.
除非设计方同意对某项特定的额外服务给予优惠或降低收费，否则他们对于每一特定主题的收费是单独收费，不会因为之后而来设计要求是相似的而放弃收取费用。
8.0 REIMBURSABLE EXPENSES 可补偿费用
8.1 Reimbursable Expenses are in addition to compensation for basic and additional services. It shall include cost incurred by the Design Consultant and its employees in the interest of the project, as identified in the following clauses.
可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。
8.2 Expenses for all travel related cost including business class airfares with Singapore Airlines or Equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.
包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。
8.3 Expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.
客户要求的专业效果图纸和/或测绘模型的费用以及10%的手续费。
8.4 Expense for courier services, postage and handling of drawings, specification and other documents.
快递服务费，图纸、说明书和其他相关文件的邮费及包装费
8.5 Expense for colour prints or colour slides when requested by client.
客户要求的彩印或者彩色幻灯片费用。
8.6 Professional fees and reimbursable expenses of supporting consultants.
辅助顾问的专业费用和可补偿费用。
8.7 Documentation and lithography cost, and fees payable to authorities where relevant.
文件及印刷费用，以及支付给相关政府部门的费用。
8.8 Site Staffs appointed and will act under the direction of the relevant consultants. Client shall reimburse the consultant all expenses incurred by such appointment.
任命工地人员且在相关顾问的指导下工作。客户应当补偿该顾问在此任命下发生的所有花费。
9.0 PAYMENT WITHHELD 支付扣留
9.1 No deductions shall be made from Design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the Works other than those, which the Design Consultant has been found liable due to, be liable. The Design Consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the Design Development Phase.
以下费用不得被抵扣：(1)设计方由于罚金、违约金而获得的赔偿金;(2)除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。
10.0 DAMAGE OR DESTRUCTION OF WORKS 工程毁损
10.1 If at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the Design Consultant, the client may require the Design Consultant to resume work on the project. The Design Consultant may do so upon notification in writing by the client. However, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.
在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。
11.0 CARE AND DILIGENCE 谨慎勤勉义务
11.1 The Design Consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.
设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。
12.0 TERMINATION 合同终止
12.1 The obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.
如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。
12.2 The client upon may terminate this agreement not less than 14 days written notice to the Design Consultant in the event that the project is permanently abandoned. If the client abandons the project for 90 consecutive days, the Design consultant may terminate the agreement by written notice.
如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。
12.3 The agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.
一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后14日内未能成功补救的，未违约方可以终止合同。
12.4 This contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.
一方进入破产程序(公司合并或者重组除外)后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。
12.5 In the event of any termination, the Design Consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. The Design Consultant shall submit his account for the balance of payment with 30 days of termination. The client shall pay all outstanding fees within 30 days upon the receipt of the account. A monthly interest of 1% is chargeable if payment due to the Design Consultant is not received after 30 days upon issuance of the final account.
合同终止事由发生时，客户须支付设计方包括可补偿费用以及合同终止费用在内的合同终止前发生的所有服务费用。设计方须提交合同终止30日前的收支帐户明细。客户须支付30日内帐户中列明的应付未付款项。最终账户确认后30日内没有付清的，设计方有权按每月1%收取利息。
13.0 OPINION OF COST 成本建议
13.1 As the Design Consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. The preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. However, the Design Consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. Services to modify Contract Documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.
设计方不能控制由其他方提供的劳务、材料、设备和服务费用，以及施工方的定价方法和/或市场情况。初步的建设成本预估是基于经验和资历的，设计方熟悉建筑行业，代表有经验专业人员作出最好的判断。但是设计方并不确保其所做的预估一定与由相关方提供的实际的建筑成本或者服务费用相一致。在客户设立的限制下提供的修改施工成本合同文件服务将被视为附加服务，相关费用应以双方一致同意为准。
14.0 SETTLEMENT OF DISPUTE 纠纷处理
本约定书的所有方面均应适用新加坡国的法律进行解释并受其约束。与本约定书有关的任何纠纷或争议，双方均可提交 进行仲裁;
All of the agreement shall be interpreted and governed by the laws of Singapore. Any disputes in connection with the agreement shall be settled through friendly negotiation. If negotiation fails, the disputes can be submitted to for arbitration.

一、服务内容
乙方负责为甲方提供室内装修设计方案，包括但不限于平面布局设计、空间规划、色彩搭配、选材建议、软装设计等。
乙方应根据甲方的需求和项目实际情况，提供不少于 ____ 套设计初稿供甲方选择，并根据甲方反馈进行修改完善，直至甲方满意为止。
在设计方案确定后，乙方应提供详细的施工图纸，包括但不限于平面图、立面图、剖面图、节点详图等，确保施工方能够准确理解并实施设计方案。
Service Scope
Party B is responsible for providing interior decoration design plans for Party A, including but not limited to floor plan design, space planning, color matching, material selection suggestions, and soft decoration design.
Party B shall provide no less than ____ sets of preliminary design drafts for Party A to choose from according to Party As requirements and the actual situation of the project, and make revisions and improvements based on Party As feedback until Party A is satisfied.
After the design plan is determined, Party B shall provide detailed construction drawings, including but not limited to floor plans, elevation views, sectional views, and detail drawings, to ensure that the construction party can accurately understand and implement the design plan.
二、服务期限
本协议服务期限自 ____起至 ____止。如因甲方原因导致设计工作延误，服务期限相应顺延。
Service Period
The service period of this agreement shall commence from [Start Date] and end on [End Date]. If the design work is delayed due to reasons attributable to Party A, the service period shall be extended accordingly.
三、设计费用及支付方式
甲方应向乙方支付的设计费用总额为人民币 ____元整（大写：____）。

Design Fees and Payment Method

四、双方权利与义务
（一）甲方权利义务
甲方有权对乙方的设计工作提出意见和建议，乙方应予以充分考虑并合理采纳。
甲方应按照本协议约定及时向乙方支付设计费用。
甲方应向乙方提供项目相关的基础资料，包括但不限于建筑图纸、现场勘查数据等，确保资料的真实性和完整性。若因甲方提供资料不完整或不准确导致设计延误或变更，乙方不承担责任。
Rights and Obligations of Party A
Party A has the right to put forward opinions and suggestions on Party Bs design work, and Party B shall give full consideration and reasonably adopt them.
Party A shall pay the design fees to Party B in a timely manner in accordance with the provisions of this agreement.
Party A shall provide Party B with basic materials related to the project, including but not limited to architectural drawings, on - site survey data, etc., to ensure the authenticity and integrity of the materials. If the design is delayed or changed due to incomplete or inaccurate materials provided by Party A, Party B shall not be liable.
（二）乙方权利义务
乙方有权要求甲方提供与设计工作相关的必要资料和信息。
乙方应按照国家相关设计规范和标准，以及甲方的要求进行设计工作，确保设计方案具有可行性、创新性和美观性。
乙方应保守甲方的商业秘密和项目信息，未经甲方书面同意，不得向任何第三方披露。
在设计过程中，如因乙方原因导致设计方案出现重大失误或未能按时交付，乙方应承担相应的违约责任。
Rights and Obligations of Party B
Party B has the right to request Party A to provide necessary materials and information related to the design work.
Party B shall carry out the design work in accordance with relevant national design codes and standards, as well as Party As requirements, to ensure that the design plan is feasible, innovative, and aesthetically pleasing.
Party B shall keep Party As business secrets and project information confidential and shall not disclose them to any third party without the written consent of Party A.
During the design process, if Party B causes major mistakes in the design plan or fails to deliver on time due to reasons attributable to Party B, Party B shall bear corresponding liability for breach of contract.
五、知识产权
乙方完成的设计成果的`知识产权归甲方所有，但乙方享有在其作品集、宣传资料等中展示该设计成果的权利，但需注明甲方为委托方。
未经甲方书面同意，乙方不得将设计成果用于其他项目或向第三方转让。
Intellectual Property Rights
The intellectual property rights of the design results completed by Party B shall belong to Party A, but Party B shall have the right to display the design results in its portfolio, promotional materials, etc., provided that Party A is indicated as the entrusting party.
Without the written consent of Party A, Party B shall not use the design results for other projects or transfer them to third parties.
六、违约责任
若甲方未按照本协议约定支付设计费用，每逾期一日，应按照未支付金额的 ____% 向乙方支付违约金。逾期超过 ____ 日的，乙方有权暂停设计工作直至甲方支付费用及违约金，且服务期限相应顺延。若甲方逾期超过 ____ 日仍未支付，乙方有权解除本协议，并要求甲方支付已完成工作对应的设计费用及违约金。
若乙方未按照本协议约定的时间提交设计初稿、最终设计方案或施工图纸，每逾期一日，应按照设计费用总额的 ____% 向甲方支付违约金。若因乙方原因导致设计方案出现重大失误，乙方应无偿进行修改，直至达到甲方要求。若乙方经多次修改仍无法满足甲方要求，甲方有权解除本协议，并要求乙方返还已支付的设计费用，同时乙方应按照设计费用总额的 ____% 向甲方支付违约金。
Liability for Breach of Contract
If Party A fails to pay the design fees in accordance with the provisions of this agreement, it shall pay a liquidated damages of ____% of the unpaid amount to Party B for each overdue day. If the overdue period exceeds ____ days, Party B has the right to suspend the design work until Party A pays the fees and liquidated damages, and the service period shall be extended accordingly. If Party A still fails to pay after the overdue period exceeds ____ days, Party B has the right to terminate this agreement and demand that Party A pay the design fees corresponding to the completed work and liquidated damages.
If Party B fails to submit the preliminary design draft, final design plan, or construction drawings within the time specified in this agreement, it shall pay a liquidated damages of ____% of the total design fees to Party A for each overdue day. If major mistakes occur in the design plan due to reasons attributable to Party B, Party B shall make free revisions until the requirements of Party A are met. If Party B still fails to meet Party As requirements after multiple revisions, Party A has the right to terminate this agreement, demand that Party B return the paid design fees, and Party B shall pay a liquidated damages of ____% of the total design fees to Party A.
七、争议解决
本协议在履行过程中如发生争议，双方应首先友好协商解决；协商不成的，任何一方均有权向有管辖权的人民法院提起诉讼。
Dispute Resolution
In the event of any disputes arising during the performance of this agreement, the two parties shall first resolve them through friendly consultations. If the consultations fail, either party has the right to file a lawsuit with the peoples court having jurisdiction.
八、其他条款
本协议自双方签字（或盖章）之日起生效，一式两份，甲乙双方各执一份，具有同等法律效力。
本协议未尽事宜，双方可另行协商并签订补充协议，补充协议与本协议具有同等法律效力。
Other Provisions
This agreement shall come into force on the date of signature (or seal) by both parties. It is made in two copies, with each party holding one copy, and both copies have the same legal effect.
For matters not covered in this agreement, the two parties may negotiate separately and sign a supplementary agreement. The supplementary agreement shall have the same legal effect as this agreement.
